Term & Conditions

1. Agreement and Operator

These Terms and Conditions ("Terms") govern access to and use of TeamInbox, including https://teaminbox.xyz/ , its web and mobile applications, dashboards, APIs, shared inbox, CRM and lead tools, chatbots, broadcasts, automations, website widgets, integrations, onboarding, support and related services (collectively, the "Service").

The Service is operated by Tech Fusioncodes Technologies Private Limited, having its contact address at CP/140, Viraj Khand-4, Gomti Nagar, Lucknow, Uttar Pradesh 226010, India ("TeamInbox", "Company", "we", "us" or "our").

By creating an account, accepting an order form, paying an invoice, clicking an acceptance box or using the Service, the customer and its authorised users agree to these Terms, the Privacy Policy, Refund and Cancellation Policy, applicable order form, plan description and any product-specific terms displayed during purchase. If a person accepts for an organisation, that person confirms authority to bind it. If you do not agree, do not use the Service.

2. Eligibility

An individual user must be at least 18 years old and legally capable of entering a binding agreement. The customer must be a lawful business, professional or organisation and must provide accurate registration, billing and business information. TeamInbox may request information reasonably required to verify identity, business authority, payment risk or platform eligibility.

3. The Service

Depending on the selected plan and configuration, TeamInbox may provide:

  • an official WhatsApp Business Platform connection and onboarding assistance;
  • WhatsApp Business App and API number coexistence where Meta determines the number is eligible;
  • a multi-agent shared inbox, roles, permissions, assignment, routing, tags, notes and audit history;
  • contact, lead, pipeline, follow-up and customer relationship management tools;
  • templates, broadcasts, sequences, scheduled messages and campaign reporting;
  • rule-based or AI-assisted chatbots, auto-replies and automation;
  • APIs, webhooks, website chat widgets and third-party integrations; and
  • analytics, support, training or managed implementation described in the plan or order form.

Features, limits and support levels vary by plan. Descriptions on the website are general and do not override a signed order form or the features shown at checkout. Beta, preview, experimental or roadmap features may be changed or withdrawn and are provided without production commitments unless expressly agreed in writing.

4. Relationship with Meta and WhatsApp

TeamInbox is a separate service provider and is not WhatsApp or Meta. WhatsApp, Meta and their marks are owned by their respective owners. The customer's use of WhatsApp remains subject to Meta's and WhatsApp's applicable terms, commerce rules, business messaging policy, privacy requirements, technical documentation and pricing.

Meta independently controls matters including business verification, number eligibility, Embedded Signup, coexistence availability, display-name approval, template classification and approval, message delivery, conversation or message charges, quality ratings, throughput, messaging limits, account review, restriction and suspension. Assistance from TeamInbox does not guarantee approval, verification, a badge, a particular limit, uninterrupted coexistence or protection from restriction.

5. Accounts and Authorised Users

The customer is responsible for:

  • all activity under its account and authorised-user credentials;
  • keeping passwords, tokens, recovery methods and connected devices secure;
  • assigning appropriate roles and permissions;
  • ensuring each user is authorised and follows these Terms;
  • promptly disabling access for departed or unauthorised users; and
  • notifying TeamInbox immediately of suspected compromise or unauthorised activity.

Accounts and seats may not be sold, rented, shared outside the customer's organisation or used to provide an unauthorised bureau or resale service. TeamInbox may rely on instructions from the customer's account owner or administrator.

6. Customer's Meta and Channel Assets

The customer must own or be authorised to administer every connected business portfolio, WhatsApp Business Account, phone number, page, domain, email account, payment method and integration. The customer is responsible for maintaining administrator access and accurate recovery information.

Unless expressly agreed otherwise, the customer retains ownership of its Meta business assets and numbers. TeamInbox may access and configure those assets only to provide onboarding, support and the requested Service. The customer must not ask TeamInbox to bypass Meta controls, conceal ownership or connect an asset without authority.

7. Subscriptions, Fees and Taxes

The customer must pay the subscription, setup, onboarding, integration, usage, add-on, support and other charges shown at checkout, in the applicable order form or invoice. Fees are quoted exclusive of GST and other taxes unless expressly stated otherwise. The customer is responsible for applicable taxes, duties and bank or foreign-exchange charges.

Monthly and annual plans are billed in advance. If a plan is identified at checkout as recurring, it will renew for the same billing period unless cancelled before the renewal date. The customer authorises the payment provider to charge the applicable payment method for recurring fees, taxes and authorised usage charges.

Plan limits may include agent seats, contacts, connected numbers, API calls, messages, automations, storage or other usage. TeamInbox may restrict excess usage, require an upgrade or charge disclosed overage fees. Removing records after exceeding a limit does not create a refund or credit.

TeamInbox may change pricing for a future renewal period by giving reasonable notice. Continued use after the new price takes effect constitutes acceptance. A signed fixed-price order form controls during its stated term.

8. Meta and Third-Party Charges

TeamInbox subscription fees do not include Meta/WhatsApp messaging charges, telecom charges, payment-gateway fees or third-party integration charges unless an order form expressly says otherwise. Meta may charge the customer directly or the charges may be collected and passed through, depending on onboarding and billing configuration.

TeamInbox does not add a markup to Meta charges where a plan expressly states "0% markup"; this does not mean Meta messaging is free. Third-party pricing, categories, billing windows and policies may change without TeamInbox's control.

9. Customer Data and Instructions

As between the parties, the customer retains its rights in Customer Data. The customer grants TeamInbox and its subprocessors a limited, worldwide, non-exclusive right to host, copy, transmit, display, modify for technical formatting, and otherwise process Customer Data only as necessary to provide, secure, support and improve the Service, comply with law and enforce these Terms.

The customer represents and warrants that it has all notices, consents, licences and lawful authority required to collect, upload, combine, disclose and process Customer Data and to instruct TeamInbox to process it. The customer is responsible for the accuracy, legality and content of Customer Data and messages. TeamInbox does not initiate or determine the purpose of the customer's communications.

10. Messaging Consent and Compliance

The customer must:

  • obtain and retain valid opt-ins and other legally required consent before messaging;
  • send only lawful, relevant communications that recipients reasonably expect;
  • use approved WhatsApp templates outside the applicable customer-service window or whenever required;
  • clearly identify the sending business and avoid deceptive sender identities;
  • honour opt-outs immediately and maintain suppression records;
  • comply with WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, applicable privacy, consumer, advertising, telemarketing and anti-spam laws; and
  • provide evidence of consent or lawful authority when reasonably requested.

TeamInbox may apply throttling, suppression, review or other safeguards and may block a campaign that presents an apparent policy, security, fraud or spam risk.

11. Prohibited Use

The customer and users must not use the Service to:

  • send unsolicited bulk messages, spam or communications to purchased, scraped or unlawfully obtained lists;
  • facilitate fraud, phishing, impersonation, harassment, threats, hate, exploitation, malware or illegal activity;
  • promote goods or services prohibited or restricted by applicable law or connected-platform policy;
  • send misleading claims, unlawful financial promotions or content that infringes another person's rights;
  • process highly sensitive information where the Service is not expressly configured and contracted for that use;
  • access another account, probe security, bypass limits or interfere with the Service;
  • reverse engineer, decompile, scrape, copy or create a competing product from the Service except where a restriction is prohibited by law;
  • resell, sublicense or commercially exploit the Service unless authorised under a written partner agreement;
  • overload the platform, evade rate limits, manipulate quality signals or circumvent Meta enforcement; or
  • use the Service or its AI functionality to develop or operate a general-purpose AI assistant where prohibited by WhatsApp's terms.

12. Templates, Broadcasts and Delivery

Meta, not TeamInbox, approves, rejects, recategorises, pauses or disables WhatsApp templates. Message acceptance by TeamInbox does not guarantee approval, delivery, receipt, reading, conversion or continued availability. Delivery may be affected by number status, user opt-in, device connectivity, quality rating, rate limits, recipient action, Meta systems, carrier networks or third-party outages.

The customer is solely responsible for campaign content, audience selection, frequency, consent, scheduling, product claims, links and legal disclosures. Analytics and engagement events depend on third-party data and may be delayed, incomplete or unavailable.

13. Number Coexistence

Coexistence is available only where supported and approved by Meta for the relevant number, account, country and configuration. TeamInbox may assist with onboarding, but does not guarantee eligibility, uninterrupted synchronisation, preservation of every historical message, availability of every WhatsApp Business App feature or reversibility in every scenario.

Before onboarding or migration, the customer must review prerequisites, maintain its own backup of important records and follow the displayed instructions. Changes made directly in Meta or WhatsApp may interrupt TeamInbox access or synchronisation.

14. AI and Automation

AI-generated replies, summaries, classifications, suggested actions and chatbot outputs may be inaccurate, incomplete, outdated or inappropriate. The customer must review outputs and apply human oversight appropriate to the use case. The customer remains responsible for communications sent automatically or by its users.

The Service must not be relied on as a substitute for legal, medical, financial or other regulated professional advice. Customers must test workflows, fallback paths, variables, recipient segments and templates before activation. TeamInbox is not liable for a customer's incorrect rule, prompt, data, schedule or configuration.

15. Third-Party Integrations

The customer may enable third-party integrations. By doing so, the customer authorises TeamInbox to exchange necessary data with that provider. Third-party products are governed by their own terms and privacy practices. TeamInbox does not control and is not responsible for a third party's availability, acts, omissions, security, data processing, pricing or policy changes. TeamInbox may discontinue an integration if the provider withdraws access or continued support becomes impracticable.

16. Intellectual Property

TeamInbox and its licensors retain all rights in the Service, software, source code, interfaces, workflows, documentation, designs, trademarks, know-how and improvements, excluding Customer Data. No ownership is transferred to the customer. Subject to payment and compliance with these Terms, TeamInbox grants the customer a limited, non-exclusive, non-transferable, revocable right during the subscription term to use the Service for its internal business purposes.

If the customer provides feedback or suggestions, it grants TeamInbox a perpetual, worldwide, royalty-free right to use them without identifying the customer or disclosing its confidential information.

17. Confidentiality

Each party may receive non-public business, technical or commercial information of the other. The receiving party will use confidential information only for the agreement, protect it with reasonable care and disclose it only to personnel, advisers and providers who need it and are bound by confidentiality duties. This obligation does not cover information that is public without breach, already lawfully known, independently developed or lawfully received without restriction. Legally compelled disclosure is permitted, with notice where lawful and practicable.

18. Security and Privacy

TeamInbox will use reasonable safeguards designed to protect the Service and Customer Data. The customer must use the Service in accordance with the Privacy Policy and must not submit data it is not authorised to process. Where the parties execute a data processing agreement, that agreement will control for the processing it covers.

19. Availability, Maintenance and Support

TeamInbox aims to provide reliable service but does not promise uninterrupted or error-free availability unless a signed service-level agreement states otherwise. We may perform scheduled or emergency maintenance, deploy security fixes, modify features and impose reasonable technical limits. We will use reasonable efforts to provide advance notice of material planned maintenance when practicable.

Support channels, hours, response targets and onboarding services depend on the plan. A response target is not a guarantee of resolution within the same period.

20. Suspension

TeamInbox may suspend or restrict access immediately where reasonably necessary because of:

  • non-payment or expired payment authorisation;
  • suspected fraud, spam, abuse, security compromise or unlawful activity;
  • breach of these Terms or connected-platform policies;
  • a request or restriction imposed by Meta, WhatsApp, a regulator or another provider;
  • usage that threatens the Service, other customers or third parties; or
  • information reasonably required for verification not being supplied.

Where appropriate, we will give notice and an opportunity to cure. Immediate action may be taken where delay creates legal, security, platform or reputational risk. The customer remains responsible for charges accrued before and during a suspension caused by the customer's breach.

21. Term and Termination

These Terms continue while the customer accesses or uses the Service. The customer may cancel a subscription through the available account process or by written request before the next renewal date. Cancellation stops future renewal but does not retroactively cancel the current paid term or create a refund.

Either party may terminate a signed order form for material breach if the breach is not cured within 15 days after written notice, unless the breach is incapable of cure or requires immediate termination. TeamInbox may terminate immediately for serious illegal, fraudulent, abusive or platform-threatening conduct.

On termination, the customer's access ends at the conclusion of the paid term or on the effective termination date. The customer should export required data beforehand. Accrued payment duties and provisions intended by their nature to survive—including intellectual property, confidentiality, disclaimers, liability, indemnity, dispute resolution and payment obligations—will survive.

22. Refunds

Fees are non-refundable except where required by law or expressly provided in the Refund and Cancellation Policy or a signed order form. The Refund and Cancellation Policy forms part of these Terms.

23. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". TeamInbox disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing or usage.

TeamInbox does not warrant that the Service will be uninterrupted, completely secure or error-free; that every message will be approved, delivered or read; that a Meta business, display name, template, badge, number or coexistence request will be approved; that use will prevent a number restriction or ban; or that analytics, AI output or third-party data will be complete or accurate.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

24. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profit, revenue, goodwill, anticipated savings, business opportunity or data, even if advised of the possibility.

TeamInbox's total aggregate liability arising out of or relating to the Service will not exceed the fees actually paid by the customer to TeamInbox for the affected Service during the six months immediately preceding the event giving rise to the claim.

The exclusions and cap do not apply to liability that cannot be excluded or limited under law, or to the customer's payment obligations, unlawful use, infringement, fraud or wilful misconduct. Third-party charges and amounts paid to Meta or another provider are not fees paid to TeamInbox for calculating the cap.

25. Indemnity

To the extent permitted by law, the customer will defend, indemnify and hold harmless TeamInbox, its affiliates, officers, employees and service providers from third-party claims, penalties, losses and reasonable costs arising from the customer's Customer Data, messages, products, campaigns, lack of consent, breach of law or platform policy, infringement of rights, misuse of the Service or breach of these Terms. TeamInbox will provide reasonable notice and cooperation, and the customer may not settle a claim in a manner that admits fault or imposes obligations on TeamInbox without written consent.

26. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil disturbance, labour disruption, government action, internet or telecom failure, cyberattack despite reasonable safeguards, cloud outage, power failure, or interruption, restriction or policy change by Meta, WhatsApp or another essential provider. Payment obligations already due are not excused.

27. Electronic Communications

The customer agrees to receive agreements, invoices, notices and service communications electronically. Notices to TeamInbox must be sent to [email protected]. Notices to the customer may be sent to the account email, displayed in the Service or communicated through another registered channel. The customer must keep its contact details current.

28. Governing Law and Disputes

These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve a dispute through written notice and discussion for at least 30 days.

If a commercial dispute is not resolved, it will be referred to arbitration by a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Lucknow, Uttar Pradesh, India, and proceedings will be in English. Courts at Lucknow will have jurisdiction over applications related to arbitration and matters not capable of arbitration.

Nothing prevents either party from seeking urgent injunctive relief or using a remedy that cannot lawfully be restricted. A consumer may use any forum or remedy available under mandatory consumer law.

29. Changes to the Terms

We may update these Terms for legal, security, technical or business reasons. Material changes will apply prospectively after reasonable notice, unless an immediate change is required by law, security needs or a third-party platform. Continued use after the effective date constitutes acceptance. If a customer rejects a material change, its remedy is to stop using and cancel the Service before the next renewal, subject to existing payment obligations.

30. General

These Terms, the Privacy Policy, Refund and Cancellation Policy and applicable order form are the entire agreement for the Service and replace prior discussions on the same subject. A signed order form controls over conflicting website terms for that order. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. The customer may not assign the agreement without written consent; TeamInbox may assign it in connection with a merger, restructuring or transfer of business. The parties are independent contractors, and no partnership, employment, fiduciary or agency relationship is created.
